Terms of Use

These Terms of Service (“Terms”) govern access to and use of the RxEPA website, applications, APIs, and related services (collectively, the “Services”) provided by RxEPA (“RxEPA,” “we,” “our,” or “us”).

By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a healthcare organization or other legal entity, you represent that you have authority to bind that entity.

1. Eligibility and Authority

If you access the Services on behalf of a healthcare provider, pharmacy, payor, or organization, you confirm that you are an authorized representative.

2. Privacy and Data Protection

Our Privacy Policy explains how we collect, use, store, and protect information and is incorporated into these Terms by reference.

You retain ownership of all clinical, administrative, and operational data submitted through the Services. RxEPA processes data only to provide, operate, secure, and improve the Services, comply with legal obligations, and enforce these Terms.

RxEPA does not sell customer data. While we use reasonable safeguards, no system can be completely secure.

3. Intended Use of the Services

RxEPA provides tools to support prescription workflow automation, prior authorization facilitation, eligibility checks, and related administrative processes.

The Services do not:

  • Make clinical decisions
  • Determine medical necessity
  • Guarantee approval of prior authorizations
  • Replace professional medical judgment

You remain solely responsible for clinical decisions, documentation accuracy, and regulatory compliance.

4. Regulatory Responsibility

Healthcare activities are subject to laws and regulations, including HIPAA and applicable federal and state requirements.

You are responsible for:

  • Compliance with HIPAA and other applicable privacy laws
  • Ensuring proper authorizations and consents
  • Determining whether the Services meet your compliance needs

RxEPA provides technical tools and does not provide legal, medical, or regulatory advice.

5. Account Registration and Security

You must provide accurate account information.
You are responsible for maintaining the confidentiality of credentials and all activities under your account.

Notify RxEPA immediately of any unauthorized access or security concerns.

6. Acceptable Use

You agree not to:

  • Use the Services for unlawful or fraudulent purposes
  • Submit inaccurate, misleading, or unauthorized data
  • Introduce malware or disrupt system operations
  • Attempt unauthorized access to systems or data
  • Misrepresent identity or authority

RxEPA may investigate misuse and take appropriate action.

7. Fees and Subscriptions

Certain Services require payment. Pricing, billing terms, and subscription details are provided at the time of purchase or in a separate agreement.

Fees are non-refundable unless expressly stated otherwise. You are responsible for applicable taxes unless otherwise required by law.

8. Intellectual Property

All intellectual property rights in the Services, including software, workflows, interfaces, designs, and trademarks, are owned by RxEPA or its licensors.

You are granted a limited, non-exclusive, non-transferable right to use the Services during your subscription term.

9. Third-Party Services and Integrations

The Services may integrate with EHRs, pharmacies, payors, or other third-party systems. RxEPA does not control and is not responsible for third-party systems, availability, or data accuracy.

Your use of third-party services is governed by their respective terms.

10. Service Availability and Changes

RxEPA may modify, update, suspend, or discontinue any portion of the Services. Reasonable notice will be provided for material changes affecting paid customers.

11. Termination

You may discontinue use of the Services at any time.
RxEPA may suspend or terminate access for violation of these Terms, non-payment, or use that creates legal, security, or operational risk.
Upon termination, access will end and data handling will follow our Privacy Policy and applicable law.

12. Disclaimers

The Services are provided on an “as is” and “as available” basis.
RxEPA disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

RxEPA does not warrant that the Services will result in specific clinical, operational, or financial outcomes.

13. Limitation of Liability

To the maximum extent permitted by law, RxEPA is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, or business opportunities.

RxEPA’s total liability will not exceed the fees paid by you to RxEPA in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless RxEPA from claims, losses, liabilities, and expenses arising from your use of the Services, your data, or your violation of these Terms.

15. Governing Law and Jurisdiction

Any dispute must be brought exclusively in state or federal courts located in Florida.

16. Changes to These Terms

RxEPA may update these Terms periodically. Updated Terms will be posted with a revised effective date. Continued use of the Services indicates acceptance of the updated Terms.
